Companies House usually accepts appeals if the sole director or a key person fell suddenly ill, was hospitalised, or died close to the deadline. Medical evidence or death certificate is required.
HMRC Late Filing Appeal Procedures
How do I submit an appeal?
You can appeal a late filing penalty online or by writing directly to the Late Filing Penalty Appeals Section at Companies House. You must quote the company number, name, and the penalty reference number.
What is the deadline to appeal?
Appeals should ideally be submitted within 30 days of the date on the penalty notice. Companies House will hold collection proceedings while they assess your appeal.
Are there payment deadlines?
If your appeal is rejected, the penalty must be paid immediately. Outstanding civil penalties are referred to debt recovery agencies or pursued via county court proceedings, which can damage your corporate credit score.
Can I request an extension in advance?
Yes! If you know your company will miss its deadline due to unforeseen circumstances (e.g. fire, illness), you should apply for a filing extension before the deadline passes. Extension requests are reviewed case-by-case.
